Entire Tribunal Property Tax Petition

Gencap Hastings Limited Dividend Housing Association LLC (“Petitioner”), through its

attorneys, Honigman LLP, states:

1.

Petitioner's principal office is located at 6938 N. Santa Montica Blvd., Fox Point,

Wisconsin 53217.

2.

The real property tax parcel identified as 08-55-001-197-10 is located at 327 W.

Court St., Hastings, in Barry County, Michigan (the “subject property”).

3.

Petitioner is a party in interest under MCL 205.735a as the owner of subject

property and/or taxpayer responsible for property tax assessments on the subject property.

4.

The subject property is classified commercial.

Page 2

2

63307614.1

5.

The subject property is presently used as a low-income residential apartment

complex, the use for which the property was designed.

6.

The subject property is in the Hastings Area School District and Barry Intermediate

School District.

7.

Respondent, City of Hastings, assesses and collects property taxes on the subject

property.

8.

The Petition is timely filed within 35 days of the December board of review’s

decision and determination issued December 9, 2025.

9.

The Tax Tribunal’s jurisdiction is invoked under MCL 205.735a(6).

10.

This matter involves issues relating to: (a) valuation, (b) assessment, (c) taxable

value, (d) uniformity, and (e) exemption.

11.

On information and belief, there was no addition.

12.

For tax year 2025, the subject property’s assessed value and taxable value were

$2,756,700.

13.

Petitioner asserts the subject property should be exempt from ad valorem property

tax for tax year 2025 and that the assessed and taxable values accordingly should be $0.

14.

The assessed value amount at issue is $2,756,700.

15.

The subject property consists of 60 residential low-income apartment units.

16.

On December 12, 2022, Respondent approved the subject property for a property

tax exemption by City Ordinance Section 70-144 adopted on December 27, 2022.

17.

Per the ordinance, the low-income housing project developed by Petitioner would

be exempt from ad valorem taxes after the acquisition of the site by Petitioner.

18.

Construction was completed in July of 2024.

Page 3

3

63307614.1

19.

100% of the units were occupied by December 31, 2024.

20.

The apartment units operate as low-income rentals that are leased to tenants that

meet the applicable household income requirements, consisting of 21 units leased at 80% AMI

(Area Median Income) rents, 17 units leased at 60% AMI rents, 8 units at 50% AMI rents, 7 units

at 40% AMI rents, and 7 units at 30% AMI rents.

21.

Although construction was completed in 2024, and the property was fully occupied

by December 31, 2024, the exemption was not placed on the tax roll for 2025.

22.

On information and belief, the assessor did not place the property on the tax roll as

exempt for 2025, because the assessor did not receive certified notification of the exemption before

November 1, 2024, under MCL 125.1415a(2).

23.

However, the Michigan State Housing Development Authority confirmed that the

property was exempt as of December 31, 2024 (tax day for 2025) and that the November 1 deadline

is “ministerial” and waivable.

24.

Importantly, Respondent established a different duration for the exemption than

what is provided for by statute under MCL 125.1415a(4)(a). Petitioner was “eligible [for the

exemption] as of August of 2024, when the property was purchased by an eligible owner, the

federally-aided mortgage was granted, and the requirements for eligibility under the statute were

satisfied.”

25.

Accordingly, the property was exempt beginning in 2025.

26.

On December 1, 2025, Petitioner submitted a protest to Respondent’s December

board of review, requesting that the taxable status of the property be corrected from taxable to

exempt for tax year 2025. Appendix A.

27.

The December board of review was required to correct the subject property’s

Page 4

4

63307614.1

taxable status to exempt under MCL 211.53b(6)(f) which requires the correction of a qualified

error “regarding the correct taxable status of the real property being assessed.”

28.

On December 9, 2025, the December board denied Petitioner’s request to correct

the subject property’s taxable status to exempt. Appendix B.

29.

The December board erred in not correcting the status of the subject property from

taxable to exempt.

30.

The Tax Tribunal has “exclusive and original” jurisdiction over “a proceeding for

direct review of a final decision, finding, ruling, determination, or order of an agency relating to

assessment, valuation, rates, special assessments, allocation, or equalization, under the property

tax laws of this state.” MCL 205.731(a).

31.

The Tribunal may review the subject property’s taxable status de novo.

32.

The Tribunal has the power to reverse the December board’s decision and enter an

order that the subject property is exempt for tax year 2024. MCL 205.732(a).

33.

We respectfully request that the Tax Tribunal reverse the December board’s

decision and correct the subject property’s taxable status to exempt under MCL 211.53b(6)(f) for

tax year 2025.

34.

Additionally, Petitioner was assessed and paid tax in excess of the correct and

lawful amount due because of a clerical error or mutual mistake of fact; accordingly, the Tribunal

should correct the property’s taxable status to exempt under MCL 211.53a.

35.

The 2025 assessment, including state equalized value and taxable value, imposed

on the subject property, and the taxes to be levied and collected thereon, are invalid and unlawful

because:

Page 5

5

63307614.1

(a)

The 2025 assessment, including state equalized value and/or taxable value,

exceeds the amount permitted by the Michigan Constitution and applicable

statutes;

(b)

The 2025 assessment, including state equalized value and/or taxable value,

is at a higher percentage of true cash value than permissible under the

Michigan Constitution and applicable statutes;

(c)

The 2025 assessment, including taxable value and/or state equalized value,

is based upon an erroneous determination of the true cash value of that

portion of the subject property that is taxable under Michigan law, and is

based upon the application of wrong principles; and

(d)

The 2025 assessment, including state equalized value and/or taxable value,

and the mode of assessment adopted by Respondent, discriminate against

Petitioner and deny Petitioner its constitutional rights to uniformity, equal

protection, and due process of law.

WHEREFORE, Petitioner requests that the Tax Tribunal enter an Order:

(a) rescinding the December board of review’s decision; (b) exempting the property from ad

valorem taxation for tax year 2025; (c) reducing the assessed value and taxable value for tax year

2025 to $0; (d) requiring Respondent to pay Petitioner refunds attributable to such reductions, plus

interest and costs; and (e) awarding Petitioner any other relief this Tax Tribunal deems just.

Re:

GenCap Hastings Limited Dividend Housing Association, LLC

Parcel no. 55-001-197-10 located at 327 W. Court St. (“Tyden Lofts”)

December Board of Review Protest Regarding Exemption for Tax Year 2025

Dear Ms. Rashid and Members of the Board of Review:

We submit a protest for the above-referenced subject property on behalf of the taxpayer,

GenCap Hastings Limited Dividend Housing Association, LLC (“taxpayer”).1 We respectfully

request that you correct Tyden Loft’s taxable status to exempt for tax year 2025.2

1. Background.

Tyden Lofts is a Low-Income Housing Tax Credit (“LIHTC”) rental property that consists

of 60 residential apartment units. The owner began working on this project in September of 2019.

The original site for the project, the Royal Coach building, burned to the ground while the owner

was under contract. The Royal Coach site, without the historic building, was awarded LIHTCs by

the Michigan State Housing Development Authority (“MSHDA”) in the Fall of 2021. MSHDA

subsequently, due to environmental concerns, rescinded the credit award for the Royal Coach site

but allowed the owner to work with the City of Hastings to find another site to place the

credits. The City and the owner worked collaboratively to secure and move the project to its

current location at 327 Court Street.

On December 12, 2022, the City approved Tyden Lofts for a property tax exemption and

PILOT. The exemption and PILOT approval became effective by a City ordinance adopted on

December 27, 2022.3 Per the PILOT ordinance, Tyden Lofts would be exempt from ad valorem

taxes after the acquisition of the site the owner. The PILOT payment for the first five years of the

project would be equal to 1% of rent collected less landlord paid utilities.4

Construction was completed in July of 2024. 100% of the units were occupied by

December 31, 2024. The apartment units operate as LIHTC rentals that are leased to tenants that

meet the applicable household income requirements, consisting of 21 units leased at 80% AMI

(Area Median Income) rents, 17 units leased at 60% AMI rents, 8 units at 50% AMI rents, 7 units

at 40% AMI rents, and 7 units at 30% AMI rents. These income and rental requirements are

outlined in a recorded 45-year Land Use Restriction Agreement. Amenities at Tyden Lofts include

a business center, computer lab, courtyard, fitness center, laundry facilities, and parking garage.

Although construction was completed in 2024, and the property was fully occupied by

December 31, 2024, the exemption was not placed on the tax roll for 2025. On information and

belief, the assessor did not place the property on the tax roll as exempt for 2025, because the

assessor did not receive certified notification of the exemption before November 1, 2024, under

MCL 125.1415a(2). However, MSHDA confirmed that the November 1 deadline is “ministerial”

and may be waived.5 The City established a different duration for the exemption than what is

provided for by statute under MCL 125.1415a(4)(a).6 Here, the City passed an Ordinance

establishing that the exemption begins upon the acquisition of the property.7 Tyden Lofts was

“eligible [for the exemption] as of August of 2024, when the property was purchased by an eligible

owner, the federally-aided mortgage was granted, and the requirements for eligibility under the

statute were satisfied.”8 The Ordinance exemption start time prevails over the timing of the

exemption provided for by statute.9 Accordingly, the property was exempt beginning in 2025.

Tyden Lofts will suffer financial hardship if required to pay ad valorem taxes for 2025.

The ad valorem assessment is about $10,000 more than the collected rents for the year. In 2024,

the net operating income for the property before debt service was only $70,514, which is less than

50% of the ad valorem taxes. Imposing the ad valorem assessment on the property creates a

tremendous burden that will be very difficult for the property to meet.

2. The December Board of Review has the authority to correct this error.

The December Board of Review can correct the 2025 tax roll to properly reflect the

property as exempt. The Ordinance supports that the property was exempt as of December 31,

2024. MSHDA’s position is that the property qualified as exempt as of December 31, 2024.

Accordingly, it is a qualified error that the “taxable status of the real property being assessed” was

placed on the roll as taxable instead of exempt under MCL 211.53b(6)(f). The December Board

must correct the taxable status error on the 2025 tax roll.

5 See Memorandum from Michigan State Housing Development Authority, dated October

28, 2025, attached as App. 4.

3. Conclusion.

We respectfully request that the December Board of Review correct the subject property’s

taxable status to exempt under MCL 211.53b(6)(f) for tax year 2025.

Upon receiving notice that the December Board corrected the taxable status to exempt, the

owner will pay the PILOT payment for 2025 (calculated as of December 31, 2024), calculated as

follows:

 $184,532 (collected rents 1/1/24-12/31/24)

– $23,271 (landlord utilities 1/1/24-12/31/24)

= $161,261

x 1% (Year 1 PILOT rate)

= $1,61310

This letter is the owner’s letter appeal to the Board. If you would like us to appear before

the Board as well, either in-person or virtually, we will make ourselves available. Thank you for

your time and consideration.

Very truly yours,

RE:

Tyden Lofts, Hastings

Determination of Eligibility for PILOT

I have reviewed the materials submitted in connection with the request for certification of

eligibility for exemption for Tyden Lofts, in Hastings, Michigan.

Tax exemption and a PILOT (payment in lieu of taxes) for this property was granted pursuant to

an Ordinance adopted by the City of Hastings on December 12, 2022. In my review of this

ordinance, I note the following language in Section 70-144:

"The housing project identified as Tyden Lofts and the property on which it will be located

shall be exempt from all ad valorem property taxes from and after the acquisition of the

Property by the Sponsor."

The exemption available under Section 15a(1)(a) of our Act (MCL 125.1401, et seq) applies to

any project that is eligible, with or without an ordinance, resolution or other action being taken by

a municipality. Although our statute (MCL 125.1415a(2)) provides that an "…owner must then

file the certified notification of the exemption with the local assessing officer before November 1

of the year preceding the tax year in which the exemption is to begin", this process for initiating

the exemption that is being claimed applies whether or not the exemption has been approved at the

local level. Thus, without any action having been taken by the municipality, if a certification of

exemption is received before November 1, the local assessor must place the property on the exempt

roll to be effective the following year.

However, MCL 125.1415a(4)(a) allows a municipality to establish a duration for the exemption

that differs from the maximum duration set by the statute. It may also establish a different class

of housing projects that are eligible, or a different PILOT payment. The City of Hastings provided

in its ordinance that the exemption began upon the date of the acquisition of the property on which

the Tyden Lofts project is located. Although we did not send the Notification of Exemption to the

City assessor until 2025 (as a result of errors and miscommunication), the documents submitted to

Page 20

the Authority establish that the property was eligible as of August of 2024, when the property was

purchased by an eligible owner, the federally-aided mortgage was granted, and the requirements

for eligibility under the statute were satisfied.

We deem the November 1 deadline as ministerial, one that may be waived by an assessor if desired.

But when the statutory certification is submitted before the deadline, the property must be exempt

the following year, and the exemption continues for 50 years, by the statute. If, however, the
