shall

be

allocated 30% of the total cost and this cost

shall

be

allocated

In

only

those parcels

the

above.

(v)

As

a

the parcels described

in this paragraph,

then

that

(e)

The

under

the

provisions

of

Para-

7

(See Exhibit

for illustra-

tion).

(7)

Any branch roads or lanes developed off,

or originating

from the easement

(Ridgecrest Lane)

will

not

be maintained under

this agreement,

but

any parcels

on

such

roads

or

lanes

will

be

obligated

to

share

the

maintenance

of

the

easement

(Ridgecrest

Lane)

as outlined in the formula above.

Only the distance measured

from the centerline of Pleasant Valley Road to the beginning of or

the

centerline

of

the

branch

road

will

be

considered

for

such

purpose.

(8)

The

easement

shall

be

maintained,

repaired,

and

reconstructed,

if necessary,

so that emergency vehicles,

including

fire

trucks,

may traverse

the easement premises

in

all

seasons,

cleared

of

snow,

weeds,

trees,

abandoned

vehicles

or

other

obstacles

at

all

times,

drained

to avoid accumulation

of mud

or

standing water,

and treated with calcium chloride

or other dust

palliative as the need may arise,

(9)

Only

those

owners

of

affected

parcels

specifically

agreeing in writing shall be obligated to contribute to the cost of

paving the easement.

(10)

"Maintenance" shall include, but not be limited to, snow

6

removal, debris removal, grading and similar activities,

"Repair"

shall include,

but not be limited to, addition of gravel, replace-

ment of signage and similar activities or expenses.

"Improvements"

shall

include,

but not

be limited

to,

installation

of additional

gravel,

other

than

for

maintenance

or

repair,

installation

of

pavement or underground utilities, plantings, retaining walls,

and

similar activities.

(11)

Subject

to

Paragraph

(9)

above,

the

owners

of

any

affected parcel shall not be obligated to contribute to the cost of

improvements

unless

a

vote

of

80%

of

the

owners

of

the

affected

parcels agree in writing to the improvement.

Should the requisite

vote for an improvement be obtained, the notice, costs, payment and

lien provisions contained

in Paragraph

(12)

shall apply.

(12)

If

the

owners

of

the

affected ‘parcels

are

unable

to

voluntarily

agree

on

maintenance

or

repairs

pertaining

to

the

easement,

then

a vote of 51% of the owners may give written notice

by regular mail to the address of each non-consenting owner of the

planned work to be performed,

the materials to be utilized and the

estimated cost thereof,

and fourteen

(14)

days after mailing such

notice,

the work may be commenced and the cost subsequently spread

against all parcels as provided above.

Payment from each owner of

the cost assessed shall be made within thirty

(30) days of the date

of

mailing

of

notice

of

such

costs.

Failing

timely

payment,

interest shall accrue at the rate of

1 1/2% per month from the date

of mailing,

or,

if that rate be usurious or illegal

at any time,

7

Page 29

then

at

the

highest

rate

allowed

by

law.

Any

unpaid

cost,

interest,

and collection expenses

(including reasonable attorney

fees), shall be a burden upon the land with

a lien therefor against

any parcel for which such costs have not been paid by the owner or

owners

of any such parcel.

Any such

lien shall

attach upon

the

filing and recording of an affidavit by the owner or owners of two

or more

of

the remaining parcels,

whose assessments

are current.

Such

affidavit

shall

set

forth

a

description

of

the

parcel

or

property against which the lien is claimed, whether the expenditure

is

for maintenance,

repair,

or improvement,

a total amount of the

expenditure,

the portion attributable to such parcel

or property,

the date or dates of such expenditures,

and such other information

as

may

be required

for recordation

of

the affidavit.

A copy

of

such affidavit shall be sent to the owner or owners of such parcel

against which the lien is claimed by regular, with postage prepaid,

at the last known address of such owner or owners.

A vote of 51%

of owners

of parcels whose assessments are current are authorized

and empowered

to retain

a lawyer to institute suit

in the name of

and

for the use and benefit

of all

the parcels owners

to collect

any unpaid assessments, together with interest and all actual legal

fees and court costs incurred in obtaining collection of the debt.

(13)

The owner

or owners

of each parcel

shall

be separately

responsible and liable to repair any damage caused to the easement

due to extraordinary use,

including the costs thereof.

"Extraor-

dinary use" shall include, but not be limited to, movement of heavy

8

Page 30

construction

equipment,

moving

vans,

or

increased

usage

not

ordinarily consistent with normal traffic, or extraordinary surface

drainage

from

a parcel which interferes with the use

of the ease-

ment by the remaining parcel or parcels,

It is hereby acknowledged

that

such

easement

is

for

the

purpose

of

ingress

and

egress

to

residentially zoned and used property,

and that traffic and use of

the easement

is expected

to

be that consistent with

such

zoning.

(14)

In

the event that any

one

or more

of the owners

of

the

parcels

involved shall undertake

to maintain,

repair,

or improve

the easement and not charge the remaining owner or owners

for the

cost thereof,

such failure to charge shall not prevent or preclude

such one or more owners from thereafter seeking contribution from

the remaining

owner

or owners

for

further costs

of maintenance,

repair,

or improvement,

and obtaining

a lien therefor as set forth

herein.

(15)

The

utility

easement

established

hereunder

shall

be

limited

only

to

the

installation,

maintenance

and

control

of

underground utilities

and

no

portion

of

the

described

easement

shall be used

for above ground or overhead utility purposes.

REVOCATION

AND

TERMINATION

OF

PRIOR

EASEMENT

AGREEMENT

(16)

All parties hereto specifically revoke and terminate any

prior easement and/or easement maintenance agreement involving the

described easement (Ridgecrest Lane) and intend that this agreement
